These Terms of Service (“Terms”) govern your access to and use of the website, marketing services, artificial intelligence–assisted tools, messaging support, and related offerings (collectively, the “Services”) provided by Rush Impact (“Rush Impact,” “we,” “our,” or “us”).
By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Eligibility & Authority
You must be at least 18 years old and have the legal authority to enter into this agreement.
If you engage Rush Impact on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Services Overview
Rush Impact is a full-service marketing agency specializing in automotive marketing strategy, campaign execution, and AI-assisted communication support.
Our Services may include, but are not limited to:
Direct mail marketing (saturation and targeted campaigns)
Digital and social media advertising
Database reactivation and lifecycle marketing
Google review and reputation management
AI-assisted voice, SMS, and digital message handling
Campaign strategy, creative development, and execution
Analytics, reporting, and performance insights
Rush Impact provides marketing services and operational support, not a self-serve software platform. Certain tools or technologies may be used internally or on your behalf to support campaign execution.
Services may evolve, change, or be discontinued at our discretion.
3. Client Responsibilities
You are responsible for:
Providing accurate and complete information required for campaign execution
Ensuring you have legal rights to customer data, lists, and databases provided
Reviewing and approving campaign content where required
Complying with all applicable laws related to your business and marketing activity
Rush Impact is not responsible for inaccuracies or legal issues arising from data or instructions provided by the client.
4. Acceptable Use
You agree not to request or use Services to:
Violate applicable laws or regulations, including TCPA, CAN-SPAM, and carrier rules
Send unsolicited, deceptive, abusive, or misleading communications
Engage in spam, phishing, or fraudulent activity
Impersonate individuals or entities
Infringe intellectual property or privacy rights
Rush Impact reserves the right to refuse, suspend, or terminate Services that create legal, reputational, or compliance risk.
5. Messaging, SMS & Voice Compliance (TCPA / A2P 10DLC)
If Services include SMS, MMS, or voice outreach:
You must obtain explicit, documented consent from all recipients
You are solely responsible for message content, audience selection, timing, and frequency
You must honor opt-out requests immediately (STOP, HELP, etc.)
Messaging must align with the consent language presented to end users
Rush Impact acts as a marketing services provider, not the sender of record, unless explicitly stated in writing.
SMS Program Disclosures (When Applicable)
Recipients may opt out at any time by replying STOP.
For assistance, reply HELP or contact support@rushimpact.com.
Message and data rates may apply. Message frequency varies.
Carriers are not liable for delayed or undelivered messages.
6. AI & Automated Services
Rush Impact may use AI-assisted tools to support campaign execution, messaging workflows, analytics, and follow-up processes.
You acknowledge that:
AI-assisted outputs may not be error-free
Human oversight is required and expected
AI tools support—not replace—human decision-making
Rush Impact does not guarantee specific outcomes or results
Client data is not used to train public or shared AI models.
7. Data & Privacy
Your use of our Services is subject to our Privacy Policy and Cookie Policy, which are incorporated by reference.
You represent that you have the legal right to collect, use, and share any data provided to Rush Impact.
Rush Impact does not sell personal data.
8. Fees, Billing & Payments
Fees are governed by written agreements, proposals, or invoices
Payment terms are defined in your service agreement
Late or unpaid balances may result in paused or terminated Services
Fees are non-refundable unless expressly stated in writing
Pricing may change with reasonable notice
9. Intellectual Property
All strategies, creative materials, methodologies, designs, and documentation created by Rush Impact remain our intellectual property unless otherwise agreed in writing.
Clients receive a limited, non-transferable license to use deliverables solely for their intended marketing purposes.
10. Third-Party Platforms & Vendors
Campaigns may involve third-party platforms (e.g., ad networks, messaging providers, analytics tools).
Rush Impact is not responsible for third-party outages, policy changes, or performance outside our control. Use of third-party services is governed by their respective terms.
11. Service Availability & Modifications
Services are provided on a commercially reasonable basis.
Rush Impact may:
Modify campaign strategies or tools
Pause campaigns for compliance or performance reasons
Adjust execution methods to protect client or carrier standing
12. Termination
Either party may terminate Services in accordance with the applicable agreement.
Rush Impact may immediately suspend or terminate Services if:
These Terms are violated
Continued execution creates legal, regulatory, or carrier risk
Required by law
Upon termination, ongoing campaigns will cease and data will be handled per retention policies.
13. Disclaimer of Warranties
Services are provided “AS IS” and “AS AVAILABLE.”
Rush Impact disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and guaranteed results.
14. Limitation of Liability
To the maximum extent permitted by law, Rush Impact shall not be liable for indirect, incidental, consequential, or punitive damages.
Total liability shall not exceed the amount paid to Rush Impact in the twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Rush Impact from claims arising from:
Your data, lists, or customer consent practices
Your marketing content or instructions
Violations of law or third-party rights
16. Governing Law & Venue
These Terms are governed by the laws of the State of North Carolina.
All disputes shall be resolved exclusively in state or federal courts located in North Carolina.
17. Changes to These Terms
We may update these Terms periodically. Updates will be posted with a revised effective date. Continued use of Services constitutes acceptance.
